Terms of Service

These Terms of Service ("Terms") govern your access to and use of TripAPI's hotel booking infrastructure, including our API, MCP server, website, and related services (collectively, the "Service"), operated by TripAPI Co., Ltd. ("TripAPI", "we", "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "API" means TripAPI's REST API and MCP server endpoints for hotel search, availability, and booking.
• "API Client" means any application, AI agent, chatbot, or service that integrates with our API.
• "End User" means the person who initiates a hotel search or booking through an API Client.
• "Hotel Partner" means a hotel or accommodation provider listed on TripAPI.
• "Booking" means a confirmed hotel reservation made through the Service.

2. API Access & Usage

2.1 API Keys

Access to the API requires an API key. You are responsible for keeping your API key secure. Do not share, publish, or embed your API key in client-side code.

2.2 Rate Limits

API usage is subject to rate limits. Current limits are communicated via API response headers. TripAPI reserves the right to adjust rate limits at any time. Excessive or abusive usage may result in temporary or permanent access revocation.

2.3 Permitted Use

You may use the API to:

• Search for hotel availability and pricing in Vietnam and Southeast Asia
• Display hotel information to End Users through your application
• Facilitate hotel bookings on behalf of End Users
• Build AI agents, chatbots, or applications that help users find and book hotels

2.4 Prohibited Use

You may NOT:

• Resell, sublicense, or redistribute raw API data to third parties
• Scrape, cache, or store hotel data beyond what is necessary for your application's immediate display
• Use the API for price manipulation, rate parity violations, or competitive intelligence against Hotel Partners
• Misrepresent TripAPI's data as your own proprietary data
• Use the API for any illegal purpose
• Circumvent rate limits or access controls

3. Bookings & Payments

3.1 Booking Process

TripAPI facilitates hotel bookings between End Users and Hotel Partners. When a booking is completed through the Service, the contractual relationship for the accommodation is between the End User and the Hotel Partner. TripAPI is not a party to the accommodation contract.

3.2 Pricing

Hotel prices displayed through the API are provided by Hotel Partners or our supply partners and may change at any time. TripAPI does not guarantee price accuracy and is not responsible for pricing errors. Confirmed booking prices are locked at the time of confirmation.

3.3 Cancellations & Refunds

Cancellation policies are set by individual Hotel Partners and are communicated at the time of booking. TripAPI will facilitate cancellation requests but is not responsible for Hotel Partner cancellation policies or refund timelines.

3.4 Commission

TripAPI earns a commission on completed bookings. Commission rates are agreed upon with Hotel Partners and do not affect the price shown to End Users.

4. Data & Privacy

4.1 Data Collection

TripAPI collects and processes:

• API usage data (queries, endpoints called, response times)
• Booking data (dates, hotel, guest count — no payment card data)
• Contact information provided during API registration

4.2 Data Protection

We handle personal data in accordance with applicable Vietnamese data protection laws. We do not sell personal data to third parties. API Clients are responsible for obtaining appropriate consent from End Users before transmitting their data to TripAPI.

4.3 Data Retention

API usage logs are retained for 12 months. Booking records are retained as required by Vietnamese tax and commercial law (minimum 5 years).

5. Intellectual Property

TripAPI retains all rights to its API, MCP server, documentation, brand, and proprietary technology. Your use of the API does not grant you any ownership rights. You may reference "Powered by TripAPI" in your application but may not use our trademarks in a way that implies endorsement without written permission.

6. Service Availability

TripAPI aims for high availability but does not guarantee uninterrupted service. We are not liable for losses caused by API downtime, errors, or maintenance. We will make reasonable efforts to provide advance notice of planned maintenance.

7. Limitation of Liability

To the maximum extent permitted by law:

• TripAPI's total liability for any claim is limited to the fees paid by you to TripAPI in the 12 months preceding the claim.
• TripAPI is not liable for indirect, incidental, special, or consequential damages.
• TripAPI is not liable for the quality, safety, or legality of accommodations provided by Hotel Partners.

8. Indemnification

You agree to indemnify and hold TripAPI harmless from any claims, damages, or expenses arising from your use of the API, your application's interaction with End Users, or your violation of these Terms.

9. Termination

Either party may terminate API access at any time with 30 days' written notice. TripAPI may immediately suspend access if you violate these Terms. Upon termination, you must cease all use of the API and delete any cached data.

10. Changes to Terms

TripAPI may update these Terms at any time. Material changes will be communicated via email to registered API users at least 14 days in advance. Continued use of the Service after changes take effect constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the Socialist Republic of Vietnam. Any disputes shall be resolved by the competent courts in Ho Chi Minh City, Vietnam.
